Board of Directors
Keeping this statement as magnetic North, “The Board’s core activity is planning, and the Board’s primary constituency is not today’s students but the students of the future” (ISM, The Board as a Strategic Entity, 2002, p.4), the purpose and function of the AIS Board of Directors is to set broad school policy, maintaining AIS long term financial stability, and hiring and evaluating the Head of School. The Board is also charged with ensuring that the AIS remains faithful to the mission and vision of Association International School.
Board members, corporately and individually, have fiduciary obligations to the school. While carrying out their responsibilities, Board members must exercise the duties of care, loyalty, and obedience. Confidentiality, disclosure of conflicts, and support for Board decisions are also required.
Board members are required to think strategically about the future of AIS. They do not become involved in administrative day-to-day operations, personnel, or curricular issues. The minimal functions of the Board include:
